Terms & Conditions

1. Account Eligibility & Approval

• Wholesale accounts are available to registered businesses, retailers, boutiques, and trade professionals only.
• All applications are subject to review and approval at the sole discretion of Jaipur Jewelry.
• The Company reserves the right to revoke wholesale status at any time if the Partner is found to be in breach of these terms or engages in conduct inconsistent with the brand’s values and positioning.
• Wholesale pricing and access are non-transferable and may not be shared with third parties.

2. Pricing & Payment

• All wholesale prices are quoted in USD and are exclusive of applicable taxes, duties, and freight unless otherwise stated in writing.
• Prices are subject to change without notice. The price applicable at the time of order confirmation shall govern the transaction.
• Payment is due in full prior to dispatch unless a credit account has been formally established and agreed upon in writing.
• Accepted payment methods include bank transfer (wire), and approved payment gateways. Credit terms, where granted, are strictly Net 30 from invoice date.
• Late payments are subject to an interest charge of 1.5% per month on the outstanding balance.
• Jaipur Jewelry reserves the right to suspend order processing for accounts with overdue balances.

3. Order Placement & Minimums

• Minimum opening order value: $500 USD
• Minimum reorder value: $1,500 USD
• All orders must be submitted through the approved wholesale portal or via written communication to service@jaipurjewelry.us.
• Orders are confirmed only upon receipt of written acknowledgement from Jaipur Jewelry. Verbal or informal commitments do not constitute a binding order.
• The Company reserves the right to decline or modify any order that cannot be fulfilled due to stock availability or production constraints.

4. Lead Times & Production

• In-stock items are dispatched within 3–5 business days of order confirmation and payment clearance.
• Made-to-order and bespoke wholesale pieces carry a lead time of 4–8 weeks, confirmed in writing at the time of order.
• Seasonal pre-orders must be placed a minimum of 6 weeks prior to the required delivery date.
• Jaipur Jewelry shall not be held liable for delays arising from force majeure events, supply chain disruptions, or circumstances beyond its reasonable control.

5. Shipping & Risk of Loss

• Domestic (USA) orders above $2,500 USD qualify for complimentary insured shipping. Orders below this threshold are subject to a freight fee.
• International wholesale shipments are dispatched on EXW or FOB terms unless otherwise agreed in writing. Risk of loss transfers to the Partner upon handover to the freight carrier.
• All shipments are fully insured and require an authorised signature upon delivery.
• Import duties, customs fees, and VAT applicable in the destination country are the sole responsibility of the Partner.

6. Returns, Exchanges & Defects

• All wholesale orders are final sale unless a manufacturing defect or shipping damage is documented at the time of receipt.
• Defect or damage claims must be submitted within 72 hours of delivery to service@jaipurjewelry.us with photographic evidence and the original packing slip.
• Approved claims will be resolved via replacement merchandise or store credit. Cash refunds are not issued on wholesale orders.
• Returns without a prior written Return Merchandise Authorisation (RMA) will not be accepted.
• A restocking fee of 15% applies to any approved discretionary returns.
• Custom, engraved, and made-to-order pieces are strictly non-returnable.

7. Intellectual Property & Brand Usage

• All product imagery, brand assets, copy, and design materials provided by Jaipur Jewelry remain the exclusive intellectual property of the Company.
• Partners are granted a limited, non-exclusive licence to use approved brand assets solely for the purpose of marketing and selling Jaipur Jewelry products through their authorised channels.
• Unauthorised reproduction, modification, or redistribution of brand assets is strictly prohibited.
• Partners must not represent themselves as agents, affiliates, or representatives of Jaipur Jewelry without prior written consent.

8. Confidentiality

Wholesale pricing, product development information, and any proprietary business information shared with the Partner in the course of the trade relationship are strictly confidential. Partners agree not to disclose such information to any third party without the prior written consent of Jaipur Jewelry. This obligation survives the termination of the wholesale relationship.

9. Termination

Either party may terminate the wholesale relationship with 30 days’ written notice. Jaipur Jewelry reserves the right to terminate the account immediately and without notice in the event of a material breach of these terms, non-payment, or conduct detrimental to the brand. Upon termination, all outstanding invoices become immediately due and payable.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Jaipur Jewelry shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the wholesale relationship, including but not limited to loss of profit, loss of business, or reputational damage. The Company’s total liability in any matter shall not exceed the value of the specific order giving rise to the claim.

11. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, United States. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Delaware, unless otherwise agreed in writing by both parties.

12. Amendments

Jaipur Jewelry reserves the right to amend these Terms & Conditions at any time. Partners will be notified of material changes via email. Continued placement of orders following notification constitutes acceptance of the revised terms.
